1. Introduction

The specific services to be provided will be detailed in a separate service agreement or statement of work between Aureya Digital and the client.

4. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for service delivery
• Respond to requests for information or approvals in a timely manner
• Pay all fees as agreed upon in the service agreement
• Comply with all applicable laws and regulations
• Maintain ownership or proper licenses for all content provided to us

5. Intellectual Property

All intellectual property rights in relation to our services, including but not limited to copyrights, trademarks, trade secrets, and patents, shall remain our property. Upon full payment of agreed fees, clients will receive a license to use deliverables for their intended purpose.

Any content provided by the client remains the property of the client. The client warrants that they have all necessary rights and permissions for any content provided to us.

6. Payment Terms

Payment terms will be specified in the service agreement. Unless otherwise agreed:

• All invoices are due within 30 days of issue
• Services may be suspended if payment is overdue
• All fees are exclusive of VAT and other applicable taxes
• Recurring services will be billed monthly unless otherwise specified

7. Confidentiality

We maintain strict confidentiality of all client information. Neither party shall disclose confidential information without prior written consent, except as required by law or for service delivery.

8. Limitation of Liability

To the maximum extent permitted by law, Aureya Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

9. Termination

Either party may terminate the service agreement with written notice as specified in the service agreement. Upon termination:

• All outstanding payments become immediately due
• Access to services will be discontinued
• Confidentiality obligations remain in effect
• Any perpetual licenses granted remain in effect

10. Governing Law

These Terms are governed by the laws of South Africa. Any disputes shall be subject to the exclusive jurisdiction of the courts of South Africa.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services constitutes acceptance of the modified Terms.
